Technologies / IT
We support:
- tech startups and scale-ups,
- global software companies and cloud solution providers,
- companies implementing ERP, CRM, and other enterprise platforms (Microsoft, SAP, Oracle, and others),
- entities developing and commercializing AI-based products,
- organizations undergoing digital transformation.
We understand the market, implementation processes, and licensing mechanisms—which enables us to advise both innovative startups and global players operating across multiple jurisdictions.
Our Approach
Our interdisciplinary team combines expertise in IT law with expertise in transactional, litigation, and white-collar crime matters, as well as in data protection and compliance. This enables us to support clients at every stage of the lifecycle of a technology project.
Design → Development → Deployment → Maintenance → Audit → Dispute Resolution
We deliver solutions that are precise, practical, and implementable - we understand the regulations and realities of the IT industry.
How can we help?
IT Implementations
We negotiate, draft, and manage implementation and maintenance contracts for projects based on Microsoft, SAP, Oracle, and other technologies. We are familiar with common points of contention in IT contracts - from definitions of acceptance and SLAs, through contractual penalties for delays, to vendor lock-in issues. We seek solutions that allow us to conclude negotiations with a favorable outcome for the client.
Cloud & SaaS
Working with one of the world’s leading public cloud providers, we understand what the market has to offer and which contract structures actually work. We help:
- negotiate and tailor contracts with hyperscalers and SaaS providers,
- adapt cloud services to comply with GDPR requirements and data localization regulations,
- mitigate the risk of vendor lock-in and ensure appropriate exit clauses.

Intellectual Property and Licenses
We draft, adapt, and negotiate:
- license agreements (end-user, enterprise, OEM, SaaS),
- agreements for the transfer of copyrights to software and other IT solutions,
- IP clauses in B2B and B2C agreements.
We ensure that the rights to the developed solutions end up where they should - and that neither party finds itself trapped by an ill-conceived license clause.
Agreements with Employees and Subcontractors
Failing to properly document agreements with developers and subcontractors can be more costly for an IT company than many production outages. We assist businesses in properly addressing:
- the transfer of copyrights to code and other works,
- confidentiality and non-compete clauses,
- B2B contracts with contractors and employment contracts with programmers.
Software Audits (Software Compliance)
Audits conducted by software vendors can result in claims for amounts that are staggering even for large organizations. We help:
- guide clients through the entire license audit process,
- challenge excessive and unjustified license claims,
- collaborate with independent auditors who will identify ways to optimize IT spending and minimize compliance risks.
Enforcement of Software Creators’ Rights
For many years, we have served as legal counsel to BSA – The Software Alliance. In recent years, we have initiated hundreds and monitored thousands of cases involving copyright infringement of computer programs. We conduct extensive activities aimed at:
- protecting the rights of software companies (domestic and international),
- enforcing software copyrights in court and pre-litigation proceedings,
- implementing enforcement strategies tailored to the scale of operations.
Technology Due Diligence
In M&A transactions, IT contracts and technology rights can be a key factor in valuation and risk assessment. We conduct due diligence in the following areas:
- rights to software and other technology assets,
- licensing structures and contractual obligations,
- open-source risks and compliance with digital regulations.
When documentation alone is insufficient, we speak directly with creators and developers.
Cybersecurity
In collaboration with specialists in economic criminal law, we help clients meet regulatory requirements in the area of cybersecurity and, in the event of an incident, respond efficiently to cyberattacks. Our team holds, among other qualifications, lead auditor certification under the ISO 27001 standard (IRCA accreditation). We assist with:
- aligning organizations with NIS2 and DORA requirements,
- developing information security policies and incident response procedures,
- providing legal support for security incidents (breach notification, liability).

Open Source Compliance
Almost every implementation relies on open source to some extent. However, not every license is “free” in the sense that developers understand it. We analyze the architecture of solutions for compliance with open source licenses (GPL, LGPL, MIT, Apache, and others) and help you avoid risks before they become a problem.
AI and New Technologies
We advise entities that develop and implement AI systems on the following:
- compliance with the requirements of the AI Act (risk classification, obligations of the provider and implementer),
- AI governance in the broad sense,
- accountability for algorithmic decisions,
- issues related to vibe coding and agentic coding;
- contracting for AI solutions and language models (LLMs) - from APIs to on-premises deployments,
- data protection in AI systems and models trained on customer data.
