Sołtysiński Kawecki & Szlęzak advised Solaris Bus & Coach S.A. in the sale of shares in SolarisTram sp. z o.o. to the Stadler Group.

Sołtysiński Kawecki & Szlęzak advised the firm Solaris Bus & Coach in the sale of shares belonging to Solaris in the joint-venture - Solaris Tram sp. z o.o., which operates on the market of trams, to the majority shareholder – Stadler Group. The transaction was finalized towards the end of 2018.

Solaris Tram began operations in April 2017 when, as part of the transaction, Solaris contributed to Solaris Tram assets connected with the tram activity conducted up to then by Solaris, and Stadler took up new shares in the company for a cash contribution. SK&S also advised Solaris in that transaction. Solaris Tram currently employs over 250 workers and specializes in the construction and painting of steel boxes for tram production.

Solaris Bus & Coach is a known Polish producer of buses, trolleybuses and trams – the firm was set up by Solange and Krzysztof Olszewski, currently belonging to the Spanish CAF Group.

Stadler is a Swiss firm which is one of the largest producers of railroad stock in Europe. Stadler Polska is its Polish company which for over 10 years has produced the Flirt trains for PKP Intercity in a factory in Siedlce. It also operates on the tram market.

As part of the transaction Solaris was supported by a team of attorneys from Sołtysiński Kawecki & Szlęzak headed by Krzysztof Pawlisz, partner, and composed of: Andrzej Motyka (Senior Counsel, attorney at law), Karol Skibniewski (Senior Associate, attorney at law), and Robert Prętki (Senior Associate, attorney at law).

In the transaction SK&S worked closely with American lawyers from the law firm Willkie Farr & Gallagher from their office in Frankfurt.
