SK&S advised Modella Capital on the acquisition of Dealz Poland from Pepco Group

SK&S, in cooperation with the London office of Mayer Brown, advised Modella Capital, a specialist UK retail investor, on its acquisition of Dealz Poland from Pepco Group.

Dealz Poland operates a chain of discount stores (approx. 350) offering a wide range of international FMCG brands and non-food products.

SK&S work included conducting legal due diligence on the target, obtaining merger control clearance and providing comprehensive transactional support.

Modella Capital is a British private equity firm and part of the Hay Wain Group, owned by Jamie Constable. It specializes in investments in retail and consumer businesses across the UK and Europe, focusing on companies with turnaround or growth potential and providing strategic and operational support to their management teams.

Pepco Group operates a multi-format discount retail network comprising 4,359 stores across 18 European countries. The group serves more than 41 million customers each month in key discount retail markets, including Central and Eastern Europe, Spain and Italy.
