SK&S advised on the establishment of the UNITAS joint venture by leading FMCG market participants

SK&S advised the Eurocash Group on the establishment of UNITAS, a joint venture company formed jointly by the Eurocash Group, Netto Polska, Salling Group, and POLOmarket.
UNITAS will represent the partners in their relations with European Marketing Distribution (EMD), the largest European purchasing group in the FMCG sector. The establishment of the company marks another step toward developing European purchasing cooperation and strengthening the partners’ position within international purchasing structures.
UNITAS’s scope of activity will include the implementation of commercial terms negotiated at the European level, the development of cooperation with international FMCG producers, and selected negotiations on the Polish market. The partnership with EMD is intended to support the continued strengthening of the competitiveness of retail trade in Poland by increasing purchasing scale, improving supply chain efficiency, and developing joint purchasing initiatives and private labels.
The SK&S team leading the project comprised Sławomir Uss (Partner), Wiktor Markiewicz (Senior Associate), and Małgorzata Fronczyk (Associate). The scope of work included comprehensive legal advice, including the preparation and negotiation of transaction documentation, as well as support with the signing and closing of the transaction.
Krzysztof Kanton (Partner) and Szymon Murek (Senior Associate) advised on antitrust matters, including obtaining merger clearance from the President of the Office of Competition and Consumer Protection, while Sławomir Łuczak (Partner) and Rafał Mierkiewicz (Senior Associate) advised on the tax aspects of the transaction.
