SK&S advised on the merger of KTP Kunststoff Palettentechnik and conTeyor Group

SK&S’ transaction team advised on the Polish law aspects of the merger of the businesses of Germany-based KTP Kunststoff Palettentechnik, a portfolio company of VR Equitypartner, and Belgium-based conTeyor International, majority-owned by Gilde Equity Management.

The transaction creates a leading group in the sustainable packaging sector, combining KTP's foldable container expertise with conTeyor's inner packaging solutions. The group is expected to generate sales of approximately EUR 200 million annually and employ around 1,000 people.

SK&S’ team was headed by Partner Sławomir Uss and Paweł Bochnia (Senior Associate).

During the execution of the transaction, SK&S worked in close cooperation with the lawyers of the Czech law firm Kinstellar who advised VR Equitypartner. Orrick, Herrington & Sutcliffe (Munich) was the lead legal counsel to VR Equitypartner.

The transaction is expected to be completed by the end of this year, subject to regulatory approvals.
