Sołtysiński Kawecki & Szlęzak comprehensively advised the NN Group on the acquisition of MetLife's businesses in Poland.

The acquisition of MetLife's businesses in Poland, including an insurance company, an investment fund company, and a universal pension company, was part of a larger transaction including, i.a. Greek entities. The value of the transaction was estimated at EUR 584 million.

The closing of the Polish part of the transaction took place on 22 April 2022, after obtaining the approval of the Polish Financial Supervision Authority (Komisja Nadzoru Finansowego, KNF), and was the culmination of a project lasting over a year. During that time, our lawyers' comprehensive advisory covered all transactional and regulatory aspects of Polish law, including drafting a due diligence and representing the NN Group in proceedings before the Polish Financial Supervision Authority.

SK&S’ team was led by Partner Dr. Marcin Olechowski. Advice on regulatory issues was provided by Dr. Wojciech Iwański (Partner), Jan Pierzgalski (Senior Associate), Dr. Mateusz Blocher (Senior Associate), Jakub Lach (Associate), and Lidia Malinowska (Associate). Paweł Bochnia (Associate), Anna Kratiuk (Senior Counsel), and Maksym Shcherbyuk (Junior Associate) advised on corporate matters.

The entire project was coordinated by the Dutch law firm De Brauw Blackstone Westbroek.
