Energy & Public Utilities
We support:
- energy companies, grid operators, energy and fuel traders, as well as aggregators,
- developers and operators of energy generation and storage facilities,
- industrial and energy-intensive consumers,
- investors, construction companies, and technology providers in the energy infrastructure sector,
- banks, lending institutions, and other project finance providers,
- public utility companies, including electricity, gas, district heating, fuel, water supply, wastewater, and waste management companies.
Our in-depth knowledge of the energy market, sector-specific regulatory requirements, and the practical realities of energy and fuel trading enables us to advise both first-time project developers and established international energy groups operating across multiple jurisdictions.
Our approach
Our interdisciplinary team combines in-depth knowledge of the energy sector with expertise in transactions, litigation, tax, state aid, public procurement, environmental law, intellectual property, and compliance. We cover the full spectrum of legal areas relevant to energy projects, including:
- energy regulatory law, including licensing, unbundling, grid access, and energy commodity trading,
- regulatory disputes,
- environmental law, land-use planning, and construction law,
- real estate and land access,
- state aid,
- contracts,
- public procurement and PPPs (public-private partnerships),
- banking and project financing,
- competition law, emissions trading, and REMIT/MAR compliance,
- enforcement of competition law in civil proceedings.
This enables us to support clients at every stage of the lifecycle of an energy project:
Development and permits → financing → construction and commissioning → operation and trading → disputes and enforcement.
We provide precise, practical, and ready-to-implement solutions—we understand both the regulations and the business realities of the energy sector.
How can we help?
Energy Infrastructure Investments
We advise clients on energy infrastructure projects, including power plants, transmission grids, energy storage facilities, and DSR resources. In particular, we represent and advise clients on:
- obtaining real property rights and necessary permits (environmental decisions, decisions on location and zoning conditions, building permits, permits for the use of environmental resources, and occupancy permits, as well as securing connection terms for transmission and distribution networks and entering into connection agreements, transmission and distribution service agreements, and comprehensive agreements;
- securing financing instruments (negotiating loan agreements, conducting due diligence for financing institutions),
- securing support instruments (grants, preferential loans, various types of investment and operational incentives, such as energy efficiency certificates, contracts for difference, capacity market mechanisms, and compensation schemes for energy-intensive sectors),
- construction, commissioning, and operation of facilities (negotiating development service agreements, EPC/BoP contracts, equipment supply agreements, operation and maintenance agreements, and commercial agreements such as off-take agreements, corporate PPAs, and BESS optimization agreements with various billing models).
Transactions
Clients can count on us when buying and selling energy projects. We assist in identifying potential acquisition targets or investors, prepare due diligence reports, and draft and negotiate transaction documentation (SPA, DSA).
Regulatory Compliance
We advise and represent clients in various matters related to compliance with regulatory obligations in the energy, fuel, and emissions markets:
- obtaining and maintaining licenses, permits, and registrations, as well as prequalification/certification for auctions supporting renewable energy sources and capacity market auctions,
- fulfilling reporting and disclosure obligations, as well as various obligations related to public fees, redemption obligations, tariffs, and price caps;
- conducting compliance audits and preparing internal procedures to implement REMIT (electricity and gas markets), MAR (emissions trading), the Fuel Package, competition and consumer protection laws, and unbundling requirements.
Optimizing Energy and Fuel Procurement Costs
We advise industrial entities on the procurement and cost optimization of energy and fuels. In particular, we assist clients in organizing tenders, switching suppliers, negotiating and renegotiating energy and fuel supply agreements (including long-term PPAs), and investing in energy efficiency solutions. We handle matters related to DSR programs and support schemes for energy-intensive sectors. We represent clients in disputes arising from energy and fuel supply contracts, including disputes regarding supply quality, take-or-pay claims, and payments for early termination of contracts.
Project Financing
We advise financing parties on the analysis of energy projects and on the drafting, negotiation, and implementation of financing documentation, including credit agreements, loan agreements, bond issuances, and equity investments.
M&A, Corporate Law, and Restructuring
We advise on regulatory-sensitive transactions in the energy sector:
- mergers, acquisitions, joint ventures, and spin-offs,
- regulatory due diligence,
- the impact of regulatory oversight on licenses and registry entries—optimization of transaction structures,
- comprehensive tax support (transaction advisory services and representation before tax authorities and courts).
Disputes and Litigation
We represent clients before administrative authorities, general courts, and administrative courts in:
- administrative and regulatory disputes, including disputes concerning the issuance of licenses, the designation of distribution system operators (DSOs), grid connection, public aid, penalties for violations of regulatory obligations, etc.,
- disputes concerning licenses and breaches of license terms,
- proceedings related to unfair competition and antitrust law,
- disputes concerning access to real property and the blocking of investments, including by environmental organizations,
- proceedings to obtain necessary decisions, permits, and licenses,
- disputes concerning the proper performance of contracts for the preparation and implementation of infrastructure projects,
- domestic and international arbitration.
Public Affairs and Legislation
We help our clients participate in the legislative process by:
- monitoring regulatory changes,
- preparing position papers and legal opinions,
- representing clients in public consultations and developing industry standards.
