SK&S M&A team advised Diversis Capital, a Los Angeles-based private equity buyout fund, on the sale of FORM, including its subsidiary ShelfWise, through a strategic merger with the image‑recognition business of Trax Retail, backed by Gemspring Capital. FORM and Trax joined forces as the two industry leaders in image recognition and frontline execution technology.
This transaction marks a significant milestone in our continued relationship with Diversis Capital, which began in 2021 when we advised FORM on its acquisition of ShelfWise.
